Position Summary

The Director of Income Tax will be mainly responsible for coordinating and supporting Tax Controversy and Cross Border Transaction matters including periodic support with the Tax Provision and Tax Compliance Group on behalf of the Samsung Electronics America, Inc. and Subsidiaries’ North American Group (SEA). The Tax Director will directly report to the North American Headquarters Head of Tax with focused efforts to achieve our Corporate Tax Strategy to take a sustainable approach to taxes which is commercially driven, responsible and transparent. Responsibilities also include various facets to support tax operations matters involving internal non-income tax compliance reporting, proactive business consultation and planning, tax strategy implementation, tax risk assessment and mitigation, optimizing tax incentives, and providing leadership to Tax Department senior management in order to accomplish these imperatives.
Also, this role will provide assistance and support with the development and supervision of assigned Tax Department tax managers and staff to ensure adherence to departmental timelines, maintain compliance procedures and controls. Continual interaction and collaboration with SEA finance, legal, HR, distribution, and other shared departments, Samsung affiliates, external financial auditors, tax providers and with Samsung’s South Korea Corporate Headquarters’ Tax Department. Experienced tax department professionals and outside advisors will support and report into this position. With inspiration from our Samsung corporate strategies and interactive organizational training, this role will foster Tax Director leadership to support ensuring best in class outcomes through continuous engagement with key stakeholders and developing self, team and organization.

Role and Responsibilities

Essential Job Functions:

Tax Controversy

• Develop and execute tax controversy strategies to effectively defend tax positions taken and minimize controversy related adjustments including negotiations to arrive at an acceptable settlement

• Develop and execute tax audit strategies; effectively manage all US income federal, state, and local audits
• Comprehend statutory authority and develop audit strategies to contend company tax positions
• Develop effective working relationships with tax authorities
• Manage tax risk issues
• Provide guidance on tax risk profile, materiality, and risk-based approach across the department
• Manage IDR process and develop optimal response strategy
• Partner with a wide range of stakeholders within and outside the tax function to support tax positions subject to audit, including Legal, Accounting and Finance
• Perform research and analysis to understand facts and tax technical implications of controversy issues
• Engage and partner with external providers as appropriate to ensure proper representation and advice on matters under inquiry
• Investigate and resolve periodic tax notice inquiries from the IRS, state and local taxing authorities
• Represents the Company before various taxing authorities; coordinates with IRS, federal and various other state agencies for tax matter resolution

Cross Border Transactions/Transfer Pricing

• Support the Head of Tax to manage and coordinate Advanced Pricing Agreements (APA) including the reporting and filing of the related APA annual reports and oversight of competent authority matters with respective US and non-US taxing authorities with the support of SEA’s external tax providers

• Ensure and document transfer pricing tested transactions on a quarterly and annual basis
• Support the Head of Tax to monitor global transfer pricing policies and review reports and analysis provided by third party providers

Tax Compliance

• Support the review of applicable sections of the consolidated federal, state, and local income tax returns and other business-related filings related to company tax filing positions and disclosures
• Monitor legislative and regulatory tax law developments, communicate the effects of these developments to management and the tax team and create strategies to capitalize on changes to taxation legislation
• Oversee and assure compliance with all outside of the U.S. tax return obligations and tax payments, ensuring all international entity tax compliance (US tax withholding and FBAR) is completed and filed timely

Minimum Qualifications:

• Bachelor's Degree in Accounting or Finance with CPA license, Masters in Tax or JD with LLM in Taxation preferred.
• Minimum twelve years of progressive experience in public accounting and/or multinational corporate tax department.
• Strong technical knowledge with experience covering a broad range of complex U.S. Federal, State and International tax matters.
• Must have in-depth knowledge of IFRS tax accounting rules and pronouncements.
• Requires strong business acumen and analytical skills, excellent verbal and written communication skills and a proven record of the highest level of personal integrity.
• Requires a least 10 years of supervisory experience with demonstrated ability to generate team engagement, collaboration, development, credibility and commitment.
• Extensive experience with tax compliance, tax accounting, financial reporting, tax audits and controversy, tax advisement and internal and external stakeholder management.
• Must be a team player and possess a strong dedication to providing quality service.
• Must be attentive to detail, accuracy, and the ability to use judgment to make sound decisions.

This role has a progression route planned to Finance Manager and ultimately, Finance Director. Your new role
Reporting to the Finance Director, you will complete a varied workload within both management & financial accounting responsibilities. You will complete various reports including stock & KPIs. You will be responsible for completing various process & system improvement projects including being involved in the implementation of a new finance system. You will also be happy to complete more junior responsibilities including complete bank & balance sheet reconciliations, VAT returns, P & L & nominal ledger accounting. Who you are

• You are certified- CPA designation or a Bachelor of Law degree with a minimum of 7 or more years of tax experience. Completed levels I and II of the CPA Canada In-Depth Tax Course or a Masters of Taxation.
• You have comprehensive knowledge of Canadian taxation - Experience with Canadian domestic & international taxation matters impacting products/business offerings and/or experience managing foreign tax advice across multiple jurisdictions.

Job Description

This position has responsibilities for the research and development (R&D) tax credit process and tax compliance related to collaborations and reports to the Director of Tax Operations. The incumbent will work with the Tax Director and outside advisors to calculate the annual R&D tax credits and manage the completion of partnership tax returns. This position will work on key tax provision and tax return calculations supporting the Tax Operations Group in the Corporate Tax Department.  This position will be asked to liaise with Business Unit Finance and Tax teams and other Internal Departments.

Your Key Duties and Responsibilities:

•          Work with the Tax Director and outside 3rd party advisors to calculate the annual R&D credits and Section 174 analysis  and prepare related workpapers for quarterly tax provisions and estimated tax payments.

•          Quarterly calculation of deemed tax partnerships taxable income for inclusion in the overall Company’s tax provision reporting and estimated tax payments, including partnering with accounting and business finance teams to collect and validate required information.

•          Review partnership tax returns, ensuring accuracy, completeness, and compliance with relevant laws.

•          Undertake special projects as they relate to U.S. compliance involving transactions of tax significance.

•          Prepare annual and/or quarterly US provision for income taxes under GAAP for assigned legal entities and book/tax adjustments.

•          Assist the Tax Director with SOX related items for all the above and help maintain key internal control processes and procedures.

•          Potential for reviewing US federal income tax returns, state income and franchise tax returns (stand-alone and unitary) including disclosures, attachments, and workpapers.  Support the completion and filing of the US Consolidated Federal tax return. Review calculations and forms for quarterly estimated tax payments and annual extensions. Compliance with ASC740 by calculating deferred tax entries on temporary tax adjustments, completing validation of deferred tax balances, and Federal and State return to accrual reconciliations.

Requirements:

• 5-7 plus years' experience in U.S. tax compliance and /or tax accounting.

• Experience in ASC740 related to U.S. tax matters.

• Strong Microsoft Excel skills and experience with Microsoft Suite Apps

• Experience in preparation of Federal Forms 1120 and 1065 and associated state and local corporate tax returns.

• Strong experience with accounting mechanics and GAAP concepts and related procedures.

• Experience with Research and Development Credit rules and methods.

• Strong project management skills with the ability to lead processes.

• Strong analytical skills to perform necessary reconciliations.

• Motivated mindset and the ability to work independently.

• Strong verbal and written communication skills.

• Sound research skills of tax technical issues.

Preferred Experience and Skills:

• Certified Public Accountant with strong core accounting skills.

• Technology and experience in automation process using tools such as Alteryx, Power BI etc.

• Experience/exposure to financial integration of acquired entities.

• Advanced degree in taxation and tax compliance software experience (Corptax and OneSource) a plus
