Introduction
Our client is an established Public Listed Company with diversified business activities. They are right now seeking to appoint a corporate/company secretarial/ICSA graduate to assume the role of Company Secretarial Executive.
The role
The role is full time permanent position that will be based at corporate head office in Kuala Lumpur. As Company Secretarial Executive, you will provide support to the Group Company Secretarial and Board of Directors in carrying out corporate secretarial functions. You will assist in managing corporate secretarial functions that are according to statutory compliance with the provisions of the Companies Act, Bursa Malaysia listing requirements and Securities Commission. Part of your duties will include providing advice on corporate matters and legal responsibilities relating to corporate governance. 
Candidate Profile
Candidates who aspire for this role must be matured with pleasant personality, pro-active person with positive work attitude. You must be able to demonstrate strong corporate administration skills. In addition, you must have working knowledge of governance principles and a background  in company secretarial support role or corporate law.
Qualification & Experience:
*Bachelor degree in Corporate Administration or professional qualification ICSA(Qualified or Part-qualified).
*At least 2 years of corporate company secretarial practice.
*Good knowledge of provisions of the Companies Act,Bursa Malaysia Listing requirements.
*Good command of spoken and written English; proficent in Bahasa Malaysia and Mandarin.

• Where you fit

The Legal Counsel SMDS, Malaysia will report to the Head of Legal Malaysia (“HOL”). The successful candidate is responsible for provision of a broad suite of legal services to SMDS and ensure compliance with laws and regulations.

• Participate in external negotiations with all applicable Government agencies, NOCs, other IOCs and contractors/vendors and drafting agreements to ensure that SMDS’ legal and commercial interests are well-represented and projects are delivered to meet performance targets
• Proactively identify commercial and legal risks and rewards, ensuring appropriate alternative commercial and legal structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework
• Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities, contracting, new business/project development, including relations with relevant third parties
• To devise, manage and provide legal advice on SMDS related claims for and against the companies’ businesses and functions prior to and during commencement of litigation to ensure:
  a) speedy resolution of all disputes;
  b) minimizing exposure to civil or criminal liabilities;
  c) minimizing legal costs; and
  d) the interests of the companies are protected always
• Keep HOL appraised of material legal and commercial activities/risks/issues/developments and, as appropriate, to the AGC GTL SAU
• To ensure optimal use of internal and external legal resources to ensure provision of professional, timely, cost effective and commercial legal advice and support, balancing both risk and value
• Maximize benefits and minimize risks that could represent any kind of loss to shareholders, while delivering the business objectives.
• To keep the HOL appraised of legal and commercial issues and developments
• To ensure the proper management of corporate matters of Shell entities and upholding the principles of corporate separateness in-country.
• To ensure Shell’s reputation, particularly with respect to legal issues and as an employer, is maintained and enhanced.

• Role requirement

• Law degree and professional legal qualification with at least twelve (12) years of PQE.  
• Extensive legal experience and incisive grasp of legal issues, demonstrated learner mindset and capability to expand knowledge in relevant areas of law and regulatory. 
• Excellent legal and strategic judgment, coupled with strong business partnering and stakeholder management skills
• Successful track record of actively scanning range of external sources to identify innovative approaches and bringing them into Shell
• Ability to establish targeted and sustainable relationships with key internal and external stakeholders, often at senior levels
• Promotes a continuous improvement mindset and challenges self and others to identify and implement opportunities for improvement
• Ability to work with both internal and external stakeholders with diverse external background, including senior government officials, senior lawyers/business representatives

Job Description

AirAsia X is seeking a skilled and experienced Legal Counsel to join our team on a 6-month contract basis. The Legal Counsel will provide comprehensive legal support to the company, primarily focusing on commercial contracts, regulatory compliance, and general legal matters related to the airline industry.

Key Responsibilities:

• Review, draft, and negotiate a wide range of commercial agreements, including but not limited to aircraft leases, supplier contracts, and service agreements.

• Advise on legal matters related to aviation regulations, compliance, and licensing requirements.

• Provide legal support and guidance to various departments within the organization, including operations, finance, and procurement.

• Conduct legal research and stay updated on industry developments, regulatory changes, and best practices.

• Assist in resolving legal disputes, claims, and other matters as they arise.

• Collaborate with external legal counsel and other stakeholders as necessary.

• Assist in the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations.

• Support other legal initiatives and projects as assigned by the General Counsel or senior management.

• Excellent verbal and written communication skills, particularly in explaining legal concepts and issues in simple language to non-lawyers and providing succinct, accurate and comprehensible legal advice. Knowledge of the legal areas relevant to e-commerce and digital including contracting and procurement

• Ability to understand and take account of business drivers and needs, and to draft contract with appropriate understanding and interpretation of the business and commercial intentions

• Strong influencing, negotiating and facilitation skills

• Exposure to international civil and/or common law contracts

• Ability to develop and sustain relationships with clients at all levels and in a range of cultures.

Duration: 6-month contract, with the possibility of extension based on business needs and performance.
