This role shall support the General Counsel and our rapidly growing and evolving businesses in the Asia- Pacific region. You will be responsible for advising the business in the Asia-Pacific region by giving pro-active, professional, competent, cost-effective and creative legal support to business units and corporate enabler functions. This includes Australian transactions, cross-border energy projects in ASEAN, PPA-related negotiations and matters as may be assigned to you from time to time. You may also be required to take the lead on M&A transactions, but working together with the inhouse M&A legal team. You will need to bring negotiation and drafting skills and business sense to deal with multiple functional teams in a rapidly scaling business.

You will work closely with local business leaders (Business Development, Corporate Finance, Project Finance and Construction) as well as with supporting functions (Finance, Admin, Accounting & HR), by advising them on legal risks, business strategies and other issues related to the Company’s businesses.

• Lead and oversee M&A transactions, joint ventures and asset rotation transactions, all in an international context and in accordance with the policies and guidelines of the EDP Group

• Review, draft, and negotiate ancillary agreements such as LOIs, non-binding offers, confidentiality agreements, services agreements, assignment agreements, amendments and termination agreements
• Drive and oversee the signing and closing of M&A transactions, as well as monitor and manage the compliance of legal requirements in accordance with applicable laws and timely fulfilment of agreed terms under the transactional documents by the relevant teams within the organisation

• Providing legal advice and support on a wide range of legal activities, including projects and transactions arising from Australia and ASEAN cross-border matters.

The Purpose:

• Managing disputes and litigation issues alongside the commercial teams; including those arising from construction contracts, construction defects, torts, payments, bond claims, and liens to avoid litigation and arbitration where possible

Requirements:

• Bachelor's Degree in Law
• Min experiences of 10 years in the relevant industry
• Relevant Post-Qualified Experience (PQE) in a law firm or as an in-house counsel.
• Familiarity with certain processes, industries, and policies is advantageous.

General Description

The Legal Counsel reports to the General Counsel and will be a key member of the Legal team in SLNG. The Legal Counsel will support the General Counsel in providing legal advice and review of commercial contracts, procurement contracts, EPC contracts, MOUs and joint venture documentation, advising on other corporate matters, managing litigation, building and managing relationships and interfaces with regulators and other governmental authorities in Singapore, and providing legal support for various expansion projects.

The incumbent shall support the General Counsel in providing legal support, including:

(a) Lead and support expansion projects undertaken by SLNG.

(b) Advising, developing, reviewing and negotiating key commercial contracts for various terminal services.

(c) Supporting the review, evaluation and negotiations of SLNG’s procurement contracts including tender documents, purchase orders, purchase contracts etc.

(d) Review of confidentiality agreements/MOUs/JVAs/services and intercompany agreements on collaboration projects.

(e) Provision of general legal advice and support on finance, corporate, employment and other matters.

(f) Managing and advising on all legal and regulatory matters of the Company including assisting in building relationships and interfaces with regulators.

(g) Assisting in the provision of company secretarial services.

(h) Conduct ad-hoc legal training from time to time.

Work Experience

(a) Post-qualification experience of minimum 8 to 10 years with preference for candidates who have been admitted to the Singapore Bar.

(b) Previous exposure and experience in the following will be an added and distinct advantage:-

(c) LNG/Gas/Energy industries. Although preferred, prior in-house experience in the energy industry is not a requirement.

(d) General corporate and commercial work/prior experience with project financing or M&A.

(e) Experience handling and negotiating commercial services agreements, EPC contracts, joint venture agreements.

(f) Experience in a law firm providing legal advice to the industries above.
