About the Responsibilities….
We are looking for a suitable candidate to join our Legal & Compliance team as a Senior Legal Counsel. Major responsibilities will include the following:
· Provide legal guidance and support for various Azalea Group entities, with an emphasis on the distribution of investment funds and services
· Provide legal advice and support with respect to the structuring and governance of various fund vehicles
· Work with IR and marketing team to provide guidance on permitted activities in various jurisdictions
· Assist with the drafting and negotiation of various contracts, including distribution/intermediary agreements, fee letters, IMAs, advisory agreements, fund administration agreements, outsourcing contracts etc.
· Provide legal and/or regulatory support for the establishment of relationships between Azalea entities and financial services partners, intermediaries and other service providers
· Assist Compliance and Finance teams on tax compliance, tax structuring (as they relate to product offerings) and other tax reporting matters where necessary
· Assist with setting up of new offices (where applicable), including application for necessary licenses or other regulatory permits, approvals to conduct new or additional regulated activities
· Monitor proposed laws and regulations that may affect Azalea Group’s businesses or product offerings, and formulate and provide appropriate legal guidance to internal team members
· Manage external legal counsel and service providers.
Required skills
· Over 15 years’ relevant experience with a major law firm and/or an in-house legal department. Experience working in licensed fund management companies servicing retail and/or accredited/institutional investors, or wealth management firms, is a plus.
· Law degree from a reputable law school and member of good standing of the bar/law society
· Holding a current practising certificate (e.g. Singapore qualified solicitor)
· Good understanding of regulatory frameworks for fund management and asset management business in general, including the Securities and Futures Act, relevant MAS Notices and Guidelines such as the Notice on Prevention of ML/TF and Outsourcing Guidelines
· Knowledge of investment fund structuring and sales channels, including cross-border distribution of fund products and management / advisory services is a plus
· Strong verbal and written communication skills, interpersonal skills and organisational skills
· Ability to work both collaboratively as part of a team and independently as needed
· Comfortable working in a global business environment dealing with different time zones and legal systems
· Demonstrated strategic and analytical mind-set, as well as a proactive, results-driven work ethic
· Advanced prioritization skills and ability to handle multiple projects concurrently
· A good sense of humour
· Comfortable presenting to internal management and Boards
