Company Secretary and Company Secretarial Assistant (Masai)
1. Company Secretary:
We are seeking a qualified and experienced individual to join our team as a Company
Secretary. The ideal candidate should possess MAICSA/ICSA/SSM qualifications with a minimum of 2-3 years of relevant experience in Company Secretarial practices. Proficiency in the Companies Act 2016 and knowledge of other regulatory laws and guidelines are essential.
Job Responsibilities:
- Prepare board resolutions, minutes, notices and other corporate secretarial documents.
- Complete the Annual Return via MBRS system.
- Ensure proper and timely filing of statutory forms/returns to SSM.
- Monitor and maintain properly updated statutory records/registers.
- Assist and submit applications for the incorporation of companies, setting up of business, and striking off.
- Handle shares transfer, alteration of capital structure, change of company name, and draft the company's constitution.
- Maintain strong relationships and effective communication regarding all aspects of clients' issues.
2. Company Secretarial Assistant:
We are also welcoming applications for the role of Company Secretarial Assistant. A
Bachelor's degree in Law, Corporate Administration, Business Studies, or equivalent is preferred. Experience is an advantage, but candidates without experience are encouraged to apply.
Job Responsibilities:
- Provide support as an assistant to the Company Secretary.
- Handle secretarial duties with minimum supervision.
- Maintain statutory records such as minutes and the Register of Members.
- Provide administrative support in organizing Board Meetings, including preparing and disseminating notices/agendas, board papers, reports, drafting minutes, and resolutions.
- Perform daily accounting operations.
- Undertake other administrative work as directed by the Management.
