Responsibilities
- To assist the Company Secretary in secretarial compliance work for public listed company and its group of companies (“Group”) which include preparation of resolutions, maintenance of statutory records and lodgement of requisite statutory returns to the relevant authorities.
- To assist the Company Secretary in Board and Shareholders matters such as organising meetings which include preparing and circulating board papers, reports, minutes, announcements, and follow-up actions based upon the decisions taken by the Board/Shareholders.
- To assist the Company Secretary in advising the Board, Committees and Management on corporate secretarial and corporate governance matters in decision making processes and to disseminate decisions made thereof.
- Coordinate all matters relating to circular to shareholders, annual report and any other requisite documents relating to any corporate exercise and ensure timely submissions/distributions.
- Liaison with advisers, legal counsels and auditors on all corporate exercises of the Group.
- Liaison with share registrar on securities information.
- Undertake special assignments, ad-hoc functions and related duties as specified by the Board.
