About the role:

• Manage the corporate secretary team and delegate tasks.
• Advise Business Consultants on Corporate Secretary related matters.
• Understand and gather clients’ requirements, analyse, design and implement business performance approaches, develop tailor-made solutions;
• Work closely with Business Consultants and clients to ensure positive impact and sustainable results;
• Manage and mitigate risks;
• Research, business analysis and process re-engineering based on industry’s best practices and accelerators;
• Identify and establish partnerships with key stakeholders, industry associations;
• Establish procedures and processes.
• Provide support to team members should volume surge which is not limited to:

1. Incorporation of new companies;
2. Maintenance of corporate secretarial records for various entities, including statutory registers;
3. Ensure compliance with relevant statutory and regulatory requirements are strictly met;
4. Preparation of Directors’/ Shareholder’s meeting minutes and resolutions and ensuring documents are properly signed, lodged and filed;
5. Preparation of annual returns and other statutory documents;
6. Preparation and lodgement of routine/ ad-hoc statutory documents/ client transactions;
7. Managing Corppass authorisations;
8. E-stamping with IRAS for transfer of shares;
9. Issuance of share certificates;
10. Facilitate the billing process for clients’ annual fees;
11. Proper maintenance of all clients’ documents;
12. Collaborate with external partners for offshore entities;
13. Arrange for the notarisation and legalisation of documents;

You should have:

• Positive attitude, driven and ready to take on challenges;
• Meticulous attention to detail and follow-through; perform tasks with high degree of accuracy and efficiency with the ability to meet deadlines;
• Must have at least 2 years of managerial experience and corp sec experience
• Ability to work independently, to take initiative and to overcome obstacles;
• Ability to successfully manage competing priorities, keeping constant sight of the overall objectives;
• High degree of flexibility in a demanding, fast-paced and frequently changing environment;
• Proficient oral and written communication skills (mandatory to communicate in both English and Chinese to better manage the clients);
