In this context, we are building out our legal team adding a foundational expertise in Tax and M&A to support our continuous growth.
The Position
As Tax & M&A Senior Counsel, you will play a pivotal role in providing guidance on tax-related matters and actively contributing to the development of M&A strategic initiatives from feasibility studies to post-operation follow-up, encompassing due diligence, contractual negotiations, and expert management of external legal advisors.
Your responsibilities will include the following:
Tax
Offer expert advice on tax-efficient strategies aimed at minimizing tax liabilities and optimizing after-tax returns on investments.
Generate and deliver comprehensive tax-related reports for senior management.
Validate the accuracy of records and documents related to tax reporting, prepare tax returns, and ensure timely filing.
Provide counsel on indirect taxation matters, including VAT, customs duties, environmental taxes, etc.
Advise on transfer pricing to enhance overall tax efficiency.
Engage in negotiations with tax authorities and address inquiries.
Identify opportunities for tax reduction, file claims, and implement strategies to enhance revenue.
Establish, maintain, and document effective internal controls for the tax function.
Stay abreast of changes in tax laws and regulations that may impact the financial standing of the organization.
Conduct thorough research on tax compliance issues at both local and national levels.
M&A
Contribute to feasibility studies for various projects, including acquisition operations and disposals.
Engage in and oversee due diligence processes, as well as the drafting and negotiation of contractual documentation.
oversee external legal advisors' services and ensure their effective management.
Manage interim signing and closing periods as required.
Take responsibility for post-operation follow-up activities.
Experience, Skills and Educational Background
Completed a higher education in a French University with a strong academic background in civil, business and tax law.
A minimum of 8 years of experience specializing in tax law, mergers and acquisitions, and corporate finance, preferably gained in a Big 4 firm and/or as an in-house practitioner.
Demonstrated technical proficiency with a solid track record in international tax law and regulations, as well as experience in tax planning, structuring, and providing support for tax M&A/BD activities.
Proven track record in managing legal aspects of mergers and acquisitions, including due diligence, contractual negotiations, and post-operation follow-up.
Fluent in French and English
