Required

Key Responsibilities

The Corporate division encompasses the core operational support for all Land O’Lakes businesses. Position Purpose:

As a Corporate Paralegal within our company, you will report to corporate counsel and play a critical role in supporting the corporate functions as a member of our Law Department team.  This position will have primary responsibility for the following: 

Key Responsibilities:

• Draft, review and revise corporate governance documents and records, to include articles, bylaws/operating agreements, written actions, resolutions, certificates and other documents required in connection with the formation and dissolution of business entities. 
• Organize, maintain, and manage all corporate records and databases to reflect up-to-date corporate details.

POSITION SUMMARY

1. 4. Maintain an active Notary Public commission.

MINIMUM QUALIFICATIONS

Ideally, you possess a Bachelor's Degree with at least 3 years of relevant experience in a corporate secretarial/ paralegal function. Prior in-house experience within the energy sector will be highly regarded. Energetic and proactive, you are a solution-driven individual with a strong track record in meeting tight deadlines. You have the confidence and excellent communication skills to collaborate with stakeholders across levels.

The Opportunity

An exciting opportunity has arisen for a full-time Paralegal to join our fast growing Corporate practice group. The role will involve assisting our clients with company incorporations and ancillary tasks relating to business structuring, and assisting lawyers prepare various base documentation relating to corporate governance and employee share schemes. The successful candidate must be able to demonstrate an ability to prioritise effectively, work under pressure, manage a range of legal matters concurrently, and confidently communicate directly with clients. 

This position is an ideal launchpad for law students nearing the end of their degrees, or recent graduates, seeking a career in corporate law. It also provides an opportunity to transition into a Graduate position after at least 12 months, depending on the needs of the business at that time.

Job Summary (12 months contract)

This position will provide corporate paralegal services, legal, organizational, regulatory and compliance related support to the APAC Legal & Compliance Department in the areas of corporate governance, compliance, outsourcing, licensing and legal and regulatory support.

Supports Hub General Counsel and other Lawyers in developing and maintaining Governance registrations, Sharepoint sites (i.e., Control Calendar, Outsourcing monitoring, licensing, etc.), GALEXY for APAC, assisting with Divisional and Group requests and projects as needed, and generally helping with APAC Hub Legal & Compliance support and documentation.

Key duties and responsibilities

• Provide all requested legal research and paralegal support for attorneys in APAC Law Department and relating to APAC Hub legal entities and initiatives.
• Responsible for assisting with Corporate Governance duties, including: Taking and drafting of Board/AGM/Executive Management Committee minutes; Preparing and filing required notifications relating to change of directors and other relevant information (inculding coordinating with Group Legal & Compliance where appropriate).,
• Primary responsibility for maintaining and monitoring administrative and tracking systems (e.g., Sharepoint, Control Calendar, Outsourcing monitoring, Galexy, etc.) for APAC.
• Assist on Compliance-related projects and initiatives, including Sanctions, Anti-Money Laundering and others.
• Maintain effective working relationships within and outside Finance and Accounting to facilitate the timely filing of regulatory compliance filings.
• Track, process and monitor licensing of APAC Hub companies.
• Provide support for corporate legal issues, legal entity management and filings and other similar matters as requested.
• Interact with senior management, corporate home office and other divisions and legal entities, as well as outside counsel and vendors as needed.
• Provide support with respect to annual Hub-wide regulatory Outsourcing and Fit & Proper compliance requirements (and other similar exercises).
• Assist with legal research and analysis.
• Monitor and report on regulatory developments and changes.
• Provide organizational and substantive support to regulatory exams and other audits (both internal and external in nature).
• Responsible for day-to-day administrative support for the Law Department including budget and projects.
• Address formation and dissolution of companies as needed and update company organizational charts accordingly.

Experience:

• Minimum 6+ years of paralegal experience in a law firm or corporation
• Exceptional interpersonal, verbal & written communication skills.
