We are seeking a qualified and proactive In-House Counsel to support the company’s legal, regulatory, and compliance functions. The successful candidate will provide practical legal advice, ensure compliance with applicable laws and regulations, and support business operations in a dynamic financial services environment.
Key Responsibilities
Regulatory & Compliance
- Advise on and ensure compliance with applicable laws and regulations, including guidelines issued by the Monetary Authority of Singapore (MAS).
- Provide guidance on regulatory frameworks such as the Moneylenders Act and Personal Data Protection Act.
- Liaise with regulators and assist with audits, inspections, and regulatory filings.
Legal Advisory
- Provide timely and practical legal advice to management and internal stakeholders on business operations and new initiatives.
- Identify legal risks and propose mitigation strategies.
Contract Management
- Draft, review, and negotiate a wide range of agreements, including loan agreements, vendor contracts, and NDAs.
- Develop and maintain standard contract templates.
Corporate Governance
- Support corporate governance matters and ensure compliance with the Companies Act.
- Prepare and review board resolutions, policies, and corporate documentation.
Dispute Resolution
- Manage disputes, claims, and litigation matters, including debt recovery cases.
- Coordinate with external counsel where necessary.
Data Protection & Privacy
- Ensure compliance with data protection laws and internal policies.
- Support or act as the Data Protection Officer (DPO), including handling data incidents and policies.
Internal Policies & Training
- Develop and update internal legal and compliance policies.
