You will be part of a team providing company secretarial services to our corporate secretarial clients.

Roles & Responsibilities

Assist the named Company Secretary to manage and perform full spectrum of corporate secretariat tasks pertaining to a portfolio of private companies and public listed companies including:

• Preparing resolutions, minutes of board and committee meetings and routine SGX-ST announcements (where necessary, for public listed companies)

• Assist with release of announcements to the SGX-ST and/or HKEX

• Provide support to the named Company Secretary and ensure clients’ continued compliance with the statutory and regulatory requirements

• (If necessary), assist with preparing such corporate secretarial documents for clients seeking an initial public offering on SGX-ST

• Review/update and maintain proper records of clients’ know your clients/clients due diligence compliance

• Maintaining timely and proper updates of companies’ registers and statutory records

• Working as a team within the corporate secretarial team to ensure timely progression of workflow, prompt turnaround time of clients’ deliverables and maintaining high level clients’ services.

Requirements

• Candidate with an ICSA qualification or is at final stage of completing the CGQP course and/or possesses strong Chinese language ability will have an advantage

• Candidate should be able to work independently with minimal supervision on a day-to-day basis.

• At least 3 years’ of experience in corporate secretarial work including familiarity with handling public listed companies’ corporate secretarial work

• Good understanding of the Companies Act and willing to learn and gain technical knowledge on SGX-ST and/or HKEX rules and other regulatory requirements

Responsibilities

You will play an active role in reviewing and managing a range of contract templates, including non-disclosure agreements, service agreements, and other commercial contracts, escalating matters to the Legal Director where necessary. As part of ensuring a robust contract management framework, you will support the administration of the contract lifecycle and help maintain efficient legal processes and systems. The role will also provide exposure to regulatory compliance matters, legal due diligence exercises, audits, and litigation management. Requirements

You should possess at least three years of experience as a Legal Executive or Paralegal within either an in-house legal team or a law firm environment, with demonstrable experience in contract management and exposure to corporate and commercial legal matters. A Diploma in Law, Legal Studies, Paralegal Studies, or a related discipline will be preferred. Due to the need to review Mandarin-language documents and communicate with Mandarin-speaking stakeholders, the successful candidate should be comfortable working in Mandarin.

Job Summary

We are seeking a highly motivated and detail-oriented legal professional to join our Building & Construction practice. The successful candidate will support a broad range of contentious and non-contentious construction, infrastructure, and energy matters, including arbitration, litigation, adjudication, and contract advisory work.

The role involves handling complex construction contracts. Familiarity with standard form construction contracts, including FIDIC and other commonly used industry forms, would be advantageous. The candidate should also be familiar with various institutional arbitration rules, aside from SIAC to complement the firm’s international practice.  The successful candidate will work closely with counsel and senior lawyers on contentious and non-contentious matters, contributing to the delivery of practical, commercially focused legal advice and dispute resolution strategies.

This role suits a candidate with approximately 5 years of post-qualification experience (or equivalent dispute resolution experience) and strong interest in construction law.
