Qualification

Responsibilities

• To assist the Company Secretary in secretarial compliance work for public listed company and its group of companies (“Group”) which include preparation of resolutions, maintenance of statutory records and lodgement of requisite statutory returns to the relevant authorities.
• To assist the Company Secretary in Board and Shareholders matters such as organising meetings which include preparing and circulating board papers, reports, minutes, announcements, and follow-up actions based upon the decisions taken by the Board/Shareholders.
• To assist the Company Secretary in advising the Board, Committees and Management on corporate secretarial and corporate governance matters in decision making processes and to disseminate decisions made thereof.
• Coordinate all matters relating to circular to shareholders, annual report and any other requisite documents relating to any corporate exercise and ensure timely submissions/distributions.
• Liaison with advisers, legal counsels and auditors on all corporate exercises of the Group.
• Liaison with share registrar on securities information.
• Undertake special assignments, ad-hoc functions and related duties as specified by the Board.

Our client is a professional corporate secretarial consulting entity providing full spectrum of secretarial services to several listed companies and group of highly successful businesses in Malaysia. Due to expansion and restructuring in recent time, they need to build a strong company secretarial team to ensure company compliance and champion corporate governance matters.  With the business undergoing rapid expansion, they are currently seeking professional ICSA graduate to assume the role of Corporate Secretarial,Assistant Manager based at their corporate head office at Mid Valley City, KL.
The job
The successful candidate for this role will be working in a small growing team and the position will assist the Company Secretary with the entire company secretarial functions across various subsidiaries and jurisdictions. The role will involve close contact with Directors, senior management, in particular Tax, Legal, Group financial Reporting within the organization.
This is a broad ranging and hands-on role which involves working in a busy team environment.
The responsibilities will involve:
o Delivery of company secretarial duties for the company's various subsidiaries.
o Preparation of broad and committee packs.
o Producing clear and concise minutes of meetings.
o Assist to ensure that the Companies Act and relevant regulatory requirements are adhered to and complied.
o Assisting in keeping statutory records of the Company's subsidiaries up-to-date.

The candidate
Aspiring candidate who are interested in this Senior Executive (Assistant Manager)level role will have a consirable PLC experience with recent experience of managing large share schemes, reports and accounts in a PLC environment listing and organising large scale AGMs.
Candidate must be a qualified Chartered Secretary/ICSA associate  level with minimum 3 years of post qualified experience in handling corporate secretarial duties.
Possess strong knowledge of basic company secretarial compliance matters, maintenance of company registers and share certificates,issuing and transfer of shares and listing requirements.
Experience of convening and attending Board meetings plus preparation of minutes.
Experience of drafting board and shareholder resolutions.
Excellent written and spoken English is necessary and essential.

Position Summary

Role and Responsibilities

• Lead, coach and manage Field Force, Merchandising and Training teams for Mobile segment with ultimate goal of producing strong talents. 
• Continuously improve performance and capabilities across Field Force, Merchandising and Training teams to deliver quality and speed to market resulting in sales.
• Take charge and manage internal and external training programs defined by team lead, RHQ or HQ.
• Plan departmental/functional Field Force and Training team budgets, forecast costs and delegate numbers as required by organizational planning and budgeting systems.
• Ensure all training activities and materials meet with organizational requirements and statutory policies, including health and safety, legal stipulations, general duty of care and employment laws.
• Lead Field Force and Training teams to proactively strategize on new and improved ways to drive customer engagement, resulting in higher conversion rates.
• Lead Merchandising team in driving new ways of working to deliver timely and accurate launches as well as day-to-day operations.
• Conduct planned and ad-hoc store visitations to sense market, including competitor launches and movements.

• Carrying out the safety and security responsibilities as directed.

• Monitoring, recording and reporting to Senior Security Assistants on construction and vicinity maintenance/ upgrade works i.e. working hours and nature of work, noise level, etc.
• Manage the outsourced security guards and monitor performance of the service provider.
• Enforce all safety and fire rules in the mall eg.SecCheck inspection and audit.
