A DAY IN A LIFE

As a start-up, you can expect your days to be pretty varied. Multitasking is normal, and sometimes, your skills or natural talents will be leveraged to support other business priorities. That said, the bulk of your working hours should involve:

• Manage all steps required for the completion and signing of all legal agreements, contracts, legal forms, statutory declarations, affidavits, board resolutions and/or any legal or company secretarial documentation. 
• Manage the filing, scanning, organisation, copying, saving and/or archiving of all such signed legal or company secretarial documentation.
• Manage, maintain and update the legal contract masterlist and corporate tracking list for all Teleport entities.
• Manage the Contract Management System or any other systems implemented or used by the department on behalf of the legal department, to ensure all legal documentation is easily accessible and retrievable at any time.
• Ensure that all agreement templates, deal checklists and general terms and conditions  are updated with the latest version for all Teleport entities, as required by the respective legal counsel.
• Assist Manager or General Counsel with extracting documents and data or preparation of documents or reports pursuant to audit exercises, reporting or quarterly compliance testing requirements.
• Manage stamping of agreements either online in LHDN website or hardcopy, as required.
• Prepare basic internal/external correspondences, letters, memo or legal online newsletters.
• Communicate with internal and external parties on behalf of the legal team,
• Other administrative, clerical and organisation support as may be assigned from time-to-time by the legal department including assisting with arranging meetings, securing meeting rooms, and procuring stationery or tools.

Qualifications:

• Diploma in Business Administration, secretarial or any other relevant certifications or qualifications OR at least two (2) years working experience in office or departmental administration work. Experience working in a legal department or law firm is an advantage.
• Solid written and verbal communication skills. Confidence in writing and speaking in English is an advantage.
• Able to work independently and as part of a team. Ability to identify issues and propose solutions.

The Legal Counsel SMDS, Malaysia will report to the Head of Legal Malaysia (“HOL”). The successful candidate is responsible for provision of a broad suite of legal services to SMDS and ensure compliance with laws and regulations.

The successful candidate will serve as a primary focal point/member of the SMDS leadership team and is expected to be a strategic business partner. This position is expected to coordinate and collaborate with other Shell Legal Malaysia colleagues, as well as integrate with other legal/functional colleagues and subject matter legal experts, and work across business lines and departments as needs and priorities may require from time to time.

• What’s the role?

• To provide and/or act as integrator in the provision of timely, professional and fit-for-purpose legal advice and support to SMDS
• Participate in external negotiations with all applicable Government agencies, NOCs, other IOCs and contractors/vendors and drafting agreements to ensure that SMDS’ legal and commercial interests are well-represented and projects are delivered to meet performance targets
• Proactively identify commercial and legal risks and rewards, ensuring appropriate alternative commercial and legal structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework

The Legal Counsel will provide comprehensive legal support to the company, primarily focusing on commercial contracts, regulatory compliance, and general legal matters related to the airline industry.

Legal Counsel:

The Legal function at CAE is a strategic partner to the business and plays a critical role in providing sound and practical legal advice to management and stakeholders across the organization. We are looking for a motivated and capable Regional Legal Counsel to join the Legal team and support our Civil Aviation business in the region. Reporting directly to the Director Legal, Civil - APAC, you will advise the Civil Aviation business on a wide range of legal, compliance and contractual matters, and play an important role in helping to establish and embed the processes and practices of the Legal department.

• Drafting and reviewing various agreements and legal documentation including operational agreements, commercial agreements, procurement purchases, tenancy agreements, and corporate transactions agreements;
• Provide practical legal advice for the company operations and business arrangements; 
• Provide advice regarding any dispute resolution matters, regulatory or compliance matters, licensing considerations, corporate structures, etc.;
• Liaising and managing external counsels as and when required;
• Identify best practice contract structures, templates and samples we can reference;
• Manage internal governance document reviews, such as board papers, contract checklists, or related-party documents; 
• Monitor any updates on the laws and regulations relevant to the business 
• Prepare legal updates and conduct training and workshops for all employees with respect to Legal SOPs and legal requirements of the law ;
• Liaising and dealing with any government agencies and regulatory bodies; and 
• Support other functions or teams in the day-to-day operations of the Company. 

SKILLS

• Strong  knowledge of PRC and HK corporate and commercial legal background including company secretarial matter. Understanding data protection is a plus but not compulsory 
• Fluency in reading, writing, drafting documents and communication skills in both Mandarin and English is essential.  Fluency in other Asian languages is an advantage. Strong communication skills in both Mandarin and the English language (writing and speaking). Comfortable to speak fluently in English to a range of regional audiences about business and legal priorities.
• Critical knowledge & Skills, including software applications, languages etc : High Computer proficiency: Word, Excel, PowerPoint, Outlook and calendar software; database experience
• A self-starter with the ability to work independently and initiate things with minimum supervision.  
• The ability to build trust and respect with other team members across multiple geographies as required.
• Experience or ability in handling and responding effectively to issues arising in the fast-paced environment is required.

QUALIFICATIONS & EXPERIENCE

• Possess a valid and recognized legal degree from a reputable university and qualified to practise law in PRC 
• Minimum 4 - 7 years general commercial experience with a company, or major national or international law firm
• Having experience in the transportation or logistics industry is a plus but not compulsory  
• Experienced in commercial/transactional negotiations, particularly in cross-cultural, cross-border and multi-jurisdictional transactions.
