• Partner with Salesforce’s Global Strategic Sourcing group to draft and negotiate key consulting, professional services, business process outsourcing and contingent staffing agreements for Salesforce’s internal business clients located in AMER and LATAM.

Required Skills/Experience
• Undergraduate degree and law degree.

• 4-6 years law firm and/or in-house transactional experience, with such experience focused on negotiating inbound services agreements (e.g., MSAs and SOWs) for a wide range of professional services, consulting services, business process outsourcing and contingent staffing.
• Experience in supporting a procurement department as an internal client.
• Experience with negotiating privacy and security terms from the perspective of both a data controller and data processor.
• Excellent written and oral communication and negotiation skills.
• Highly responsive and collaborative attitude.
• Ability to organize, prioritize and handle competing matters, especially during periods of high volume such as the end of a fiscal quarter.

The Corporate Counsel will report to the Company’s Associate Counsel, and will work closely with other attorneys and staff in the Company’s Legal and Compliance Departments. This position will assist in protecting the Company’s legal interests and in maintaining its operations within the scope of established law with a primary focus on the Company’s expansion into new states of operation. · Advise on consumer finance-related regulatory, compliance, and legal issues with a focus on origination, servicing, and collections of consumer installment loans
· Update policies and procedures to address expansion initiatives, and develop new policies and procedures as required
· Work cooperatively and strategically with other departments to advise on matters consistent with applicable laws and regulations, including closely assisting with state and digital expansion efforts
· Conduct legal research and draft memoranda, as needed

· Continuously monitor and maintain comprehensive knowledge of consumer lending and other applicable laws/regulations for a multi-state consumer finance company with numerous locations and a digital platform

The Ares Legal team is responsible for advising on a wide range of legal matters as the Ares Legal team guides Ares' business through an evolving and complex financial, legal, and regulatory environment across the multiple jurisdictions in which we operate.
The ideal candidate will work directly with senior investment professionals and corporate boards, as well as the broader Ares Legal department and Finance & Accounting, Tax, Public Investor Relations, Communications and Compliance departments. As such, familiarity, and experience with legal matters relevant to the alternative investment management industry, as well as externally managed companies, is preferable, but not required. Assist with the drafting and filing of all securities and disclose documentation
Support all ’33 Act matters, including annual prospectus re-write and prospectus supplements for products in a continuous offering
Support all ’34 Act filings, including 10-K, Qs, 8-Ks, Form 3/4s, etc.
Manage the following corporate governance items:
Board meetings
Annual proxies
Annual SH meetings
Advisory Agreement Issues
Equity Incentive Plans
Valuation Issues
CFTC and ’40 Act compliance
Governance related to investment committee meetings
Review announcements, press releases, investor presentations, investor and board communications and other materials (including preparing appropriate materials as necessary)
Supervise corporate paralegals
Remain up-to-date on relevant corporate governance and securities law developments
Education:
JD required with a strong academic background
Experience Required:
3-6 years of securities and corporate experience, ideally with some exposure to the alternative investment management industry, as well as externally managed companies
Significant collaboration with colleagues across multiple functions, including those in senior and executive leadership
Proven record of accomplishment in relationship management with internal and external stakeholders

The anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role.
$235,000 - $275,000
