Tasks & responsibilities

• Draft commercial contracts, lease, joint-venture agreements, partnership agreement, shareholder agreements, merger and acquisition, commercial loan and other commercial and corporate documentation
• Provide legal opinion on corporate matters
• Conduct due diligence for corporate transactions
• Guide clients on regulatory and compliance issues
• Negotiate deals on behalf of clients
• Any other tasks when required

Qualifications & experience

• Candidate must possess at least a Bachelor's Degree in Law (Honours) – LL.B (Hons.)
• At least 3 years of working experience preferably as an advocate and solicitor
• Familiar with areas of laws/legislations such as company law, contracts law, land law, mergers and acquisitions, sales of goods act, consumer protection act
• Familiar with business-related matters, such as property development contracts, business agreements, shareholder agreements, due diligence, debt recovery, etc
• Familiar with general litigation matters

Responsibilities:

1.     To handle product registration (Traditional Medicine / Natural Product, Health Supplement, & OTC).

2.     Liaising and negotiating with regulatory authorities 

3.     Providing advises about regulations to customers / colleagues

4.     Coordinate efforts associated with the preparation of regulatory documents or submissions. 

5.     Keeping up to date with changes in regulatory legislation and guidelines.  

6.     Maintain current knowledge base of existing and emerging regulations, standards, or guidance documents. 

7.     Prepare or direct preparation of additional information or responses as requested by regulatory agencies such as post market surveillance. 

8.     Direct the collection and preparation of laboratory samples as requested by regulatory agencies 

9.     Prepare or maintain technical files as necessary to obtain and sustain product approval. 

10.  Prepare responses to customer requests for information, such as product data or written regulatory affairs statements. 

11.  Recommend changes to company procedures in response to changes in regulations or changes 

12.  Coordinate recall or market withdrawal activities as necessary. 

13.  Required to study scientific or clinical papers for supporting claims on product. 

14.  Able to pay close attention to details and have good reading comprehension on scientific matters.

A DAY IN A LIFE

As a start-up, you can expect your days to be pretty varied. Multitasking is normal, and sometimes, your skills or natural talents will be leveraged to support other business priorities. That said, the bulk of your working hours should involve you having to:

• Drafting and reviewing various agreements and legal documentation including operational agreements, commercial agreements, procurement purchases, tenancy agreements, and corporate transactions agreements;
• Provide practical legal advice for the company operations and business arrangements; 
• Provide advice regarding any dispute resolution matters, regulatory or compliance matters, licensing considerations, corporate structures, etc.;
• Liaising and managing external counsels as and when required;
• Identify best practice contract structures, templates and samples we can reference;
• Manage internal governance document reviews, such as board papers, contract checklists, or related-party documents; 
• Monitor any updates on the laws and regulations relevant to the business 
• Prepare legal updates and conduct training and workshops for all employees with respect to Legal SOPs and legal requirements of the law ;
• Liaising and dealing with any government agencies and regulatory bodies; and 
• Support other functions or teams in the day-to-day operations of the Company. 

SKILLS

• Strong  knowledge of Malaysia corporate and commercial legal background. General knowledge of company secretarial matters is an advantage. Understanding data protection is a plus but not compulsory. 
• Fluency in reading, writing, drafting documents and communication skills in English is essential. Fluency in other Asian languages is an advantage.
• Critical knowledge and skills, including software applications etc : High Computer proficiency: Google Suite, Word, Excel, PowerPoint, Outlook and calendar software; contract management database experience.
• A self-starter with the ability to work independently and initiate things with minimum supervision.  
• The ability to build trust and respect with other team members across multiple geographies as required.
• Experience or ability in handling and responding effectively to issues arising in the fast-paced environment is required.

QUALIFICATIONS & EXPERIENCE

• Possess a valid and recognized legal degree from a reputable university and qualified to practise law in Malaysia.
• Minimum 3 - 7 years general commercial experience with a regional company, or major national or international law firm.
• Having experience in the transportation or logistics industry is a plus but not compulsory.  
• Experienced in commercial/transactional negotiations, particularly in cross-cultural, cross-border and multi-jurisdictional transactions.

Job Purpose:  

As an Legal Counsel, the successful candidate will:

• be responsible for reviewing, drafting, negotiating and revising supplier and customer contract.

• be responsible for achieving TD SYNNEX’s value proposition with best possible contract negotiations and agreements’ terms & conditions.

• be required to handle all legal related aspects of any contract arising from any country.

• be in charge of legal research, support and to provide legal advice to internal stakeholders within TD SYNNEX , and engage in negotiations with organizations external to TD SYNNEX

Responsibilities:

• Responsible for drafting, reviewing, revising and negotiating supplier and customer Contract.

• Identifies commercial, operational and legal risks and advises how to resolve, mitigate or manage those risks.

• Participates in contract negotiations with customers and suppliers with the business (where necessary)

• Follows corporate guidelines and processes for contract review and approval.

• Participates actively as part of the APJ Contracts Team in identifying, developing and implementing contractual tools and documents that can value add into TD SYNNEX contracts and/or business processes.

• Enforces contract management policies and procedures and develops and improve supplier and customer contract templates, contracting policies.

• Conducts (where required) relevant training for Sales, Marketing and Operations personnel to enhance communications with business teams as to resolve issues.

• Legal research into areas of laws specific to countries in APJ, such as Data Privacy laws, Customs Regulations

• Legal advice and support for HR, Tax, Treasury, Finance, Business/Sales, Facilities and/or other organizations in countries in APJ from time to time

• Co-ordinates with the external legal counsels for litigation matters and corporate secretarial matters. Assist and support Ethics & Compliance with local trainings, implementation of policies, investigations and/or liaising with local authorities as may be needed from time to time.

Knowledge, Skills and Experience:

• Candidate must have a minimum of 5 to 6 years prior experience in Legal management

• University Degree or equivalent

• Diploma/Degree in Law

• Knowledge on Contract & agreements

• Well versed with contractual concepts & clauses

• Excellent Communication skills. (Both written and oral)

• High ability to build effective working relationships with senior level management and the sales teams and managing all key stakeholders.

• High level of thinking and problem-solving capability and be capable of working under heavy stress and shifting priorities

• Well-Organized, methodical and working closely with all parts of the business

• Seeks to build high customers satisfaction (internal and external)
