Responsibilities

• To assist the Company Secretary in secretarial compliance work for public listed company and its group of companies (“Group”) which include preparation of resolutions, maintenance of statutory records and lodgement of requisite statutory returns to the relevant authorities.
• To assist the Company Secretary in Board and Shareholders matters such as organising meetings which include preparing and circulating board papers, reports, minutes, announcements, and follow-up actions based upon the decisions taken by the Board/Shareholders.
• To assist the Company Secretary in advising the Board, Committees and Management on corporate secretarial and corporate governance matters in decision making processes and to disseminate decisions made thereof.
• Coordinate all matters relating to circular to shareholders, annual report and any other requisite documents relating to any corporate exercise and ensure timely submissions/distributions.
• Liaison with advisers, legal counsels and auditors on all corporate exercises of the Group.
• Liaison with share registrar on securities information.
• Undertake special assignments, ad-hoc functions and related duties as specified by the Board.

Job Decriptions:

• To assist and support the Company Secretary in efficient administration of the Company, particularly in ensuring compliance with statutory and regulatory requirements
• To attend and assist in organizing Annual General Meetings (AGMs) and quarterly board meetings such as preparing agendas, notice of meetings, compiling board papers and meeting minutes

Introduction
Chrisjac Recruitment is currently looking for the services of a qualified Company Secretarial Senior Executive to join a successful public listed company in Kuala Lumpur. The successful candidate will be responsible for corporate governance and for ensuring the company complies with its obligations under the Companies Act and the listing rules in Malaysia. The incumbent will have oversight and responsibilties of the Company Share Registter and Share Schemes. This role would suite an ICSA graduate with variuos secretarial experience ideally working within a listed environment.
The Job Role
The successful candidate for this role will be working in a small growing team and the position will assist  the senior Company Secretary with the entire company secretarial functions across various subsidiaries and jurisdictions. The role involve close contact with Directors,senior management,in particular Tax,Legal,Group financial Reporting within the organization.
This is a broad ranging and hands-on role which involves working in a busy team environment.
The responsibilities will involve:
-Dilivery of company secretarial duties for the various subsidiary companies.
-Preparation of broad and committee packs.
-Producing clear and concie munutes of meetings.
-Assist to ensure that the Companies Act and relevant regulatory requirements are adhered to and complied.
-Assist in keeping statutory records of the Company's subsidiaries up-to-date.
The candidate
Aspiring candidates who are interested in this Assistant/Senior Executive level role will have a comprehensive PLC experience with recent experience of managing large share schemes,reports and accounts in a PLC environment listing and organizing large scale AGMs.
Candidates must be a qualified Chartered Secretary/ICSA graduate with minimum 3 years of post qualified experience in handling corporate secretarial duties.
Possess strong knowledge of basic company secretarial compliance matters, maintenance of company registers and share certificates, issuing and transfer of shares and listing requirements.
Experience of convening and attending Board meetings plus preparation of minutes.
Experience of drafting board and shareholder resolutions.
Possess excellent written and spoken English in necessary and essential.

Position Summary

Role and Responsibilities

• Lead, coach and manage Field Force, Merchandising and Training teams for Mobile segment with ultimate goal of producing strong talents. 
• Continuously improve performance and capabilities across Field Force, Merchandising and Training teams to deliver quality and speed to market resulting in sales.
• Take charge and manage internal and external training programs defined by team lead, RHQ or HQ.
• Plan departmental/functional Field Force and Training team budgets, forecast costs and delegate numbers as required by organizational planning and budgeting systems.
• Ensure all training activities and materials meet with organizational requirements and statutory policies, including health and safety, legal stipulations, general duty of care and employment laws.
• Lead Field Force and Training teams to proactively strategize on new and improved ways to drive customer engagement, resulting in higher conversion rates.
• Lead Merchandising team in driving new ways of working to deliver timely and accurate launches as well as day-to-day operations.
• Conduct planned and ad-hoc store visitations to sense market, including competitor launches and movements.

Responsible for supporting and improving the IT Security Posture of related hardware, software, and configuration to ensure it meets the company security policy and minimum security baseline.

Responsibilities: 

• Secure the information system by identifying and solving potential security issues and recognizes potential abnormalities and reports violations.

• Maintain a proactive approach to protecting the system by defining access privileges, control structures, and resources.

• Maintain the infrastructure health by performing daily monitoring, patch updates, and configuration review. Implements security improvements by assessing the current situation, evaluating trends, and anticipating requirements.

• Liaise with vendors to ensure projects, services and tasks are implemented as per specification and timely manner.

• Prepare technical documentation, system manuals, workflow processes, procedures, and guidelines and update them according to SOP.

• Ensure the completion of new equipment setup or configuration changes according to the maintenance schedule or recommended changes.

• Determines security violations and inefficiencies by conducting periodic audits. Upgrades system by implementing and maintaining security controls.

• Assist in every related area of IT Infrastructure whenever required to ensure the continuous smooth running of the MIS department.

• To provide after-hours support according to work requirements and job schedule.

• To perform any other tasks or assignments as directed by the management from time to time.
